1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Verit Solutions Ltd ("Verit," "Company," "we," "us," or "our"), a company registered in England and Wales, governing your access to and use of our website, services, and applications (collectively, the "Services").

These Services are designed primarily for business use by organizations, training providers, educational institutions, and enterprises ("Customers") for the issuance, management, and verification of digital credentials. If you are accessing the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. These Terms are governed by the laws of England and Wales. If you do not agree to these Terms, you must not access or use our Services.

2. Eligibility and User Roles

2.1 General Eligibility

To use our Services, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into binding contracts
  • Not be prohibited from using the Services under applicable law
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials

2.2 User Roles

Our Services support different user roles with distinct rights and responsibilities:

  • Issuer: Organizations (e.g., training providers, educational institutions, employers) that create and issue verifiable credentials to learners or employees
  • Holder: Individuals (e.g., learners, employees) who receive, store, and manage their own verifiable credentials
  • Verifier: Third parties (e.g., employers, regulatory bodies) who verify the authenticity of credentials presented by Holders
  • Customer: The legal entity (typically an Issuer organization) that enters into a contractual relationship with Verit and is responsible for payment and compliance
  • Developer: Users who integrate our API/SDK into their own systems

3. Account Registration and Security

3.1 Account Creation

To access certain features, you must create an account by providing:

  • Accurate, current, and complete information
  • Valid email address
  • Secure password meeting our requirements
  • Any additional information required for identity verification

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Ensuring your account information remains accurate and up-to-date

3.3 Data Controller and Processor Roles

For Issuer accounts, the Customer organization acts as the data controller for credential holder personal data. Verit acts as a data processor on behalf of the Customer. The Customer is responsible for ensuring they have lawful basis to process holder data and issue credentials.

3.4 Credential Ownership

Holders retain ownership and control of their credentials. Once a credential is issued to a Holder, the Holder has the right to store, manage, and share their credential as they choose. Verit provides the infrastructure for credential issuance and verification but does not control how Holders use their credentials.

3.5 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for violations of these Terms or for any other reason at our sole discretion.

4. Description of Services

Verit provides privacy-focused verifiable credential infrastructure:

  • Credential Issuance: Tools for Issuers to create and issue tamper-proof verifiable credentials to Holders
  • Credential Verification: Infrastructure for Verifiers to authenticate credentials without accessing unnecessary personal data
  • Cryptographic Timestamping: Optional timestamping services using cryptographic hashes (no raw personal data is stored on distributed ledgers)
  • API/SDK Integration: Developer tools for custom integration into existing systems
  • Dashboard Access: Web-based interface for Issuers to manage credential issuance
  • Support Services: Technical support and documentation

4.1 Privacy and Data Minimization

Our Services are designed with privacy-by-design principles:

  • No PII on Distributed Ledgers: We do not store raw personal information on any blockchain or distributed ledger; only cryptographic hashes and metadata are used
  • Holder Control: Credential Holders control their own credentials and decide when and with whom to share them
  • Data Minimization: We collect and process only the minimum data necessary to provide the Services
  • Verification Without Disclosure: Verifiers can authenticate credentials without accessing all credential contents

4.2 Issuer Responsibility for Credential Accuracy

Important: Verit provides the technical infrastructure for credential issuance and verification. We do not verify the correctness, accuracy, or validity of credential contents. The Issuer is solely responsible for:

  • Ensuring the accuracy of information contained in credentials
  • Verifying that they have the legal right to issue credentials
  • Complying with applicable accreditation and regulatory requirements
  • Maintaining records to support issued credentials

4.3 No Guarantee of Credential Acceptance

We do not guarantee that credentials issued through our Services will be accepted by any third party, employer, regulatory body, or other Verifier. Acceptance of credentials is at the sole discretion of the receiving party.

4.4 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice.

5. User Obligations and Acceptable Use

5.1 Permitted Use

You may use our Services only for lawful purposes and in accordance with these Terms.

5.2 Prohibited Activities

You agree NOT to:

  • Violate any applicable laws or regulations
  • Infringe upon intellectual property rights
  • Transmit malware, viruses, or harmful code
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Services
  • Use automated systems (bots, scrapers) without permission
  • Impersonate any person or entity
  • Collect or harvest user information
  • Engage in fraudulent activities
  • Reverse engineer or decompile our software
  • Resell or redistribute our Services without authorization
  • Use the Services for competitive analysis
  • Issue fraudulent or false credentials
  • Issue credentials without legal right or proper authorization
  • Use the Services for identity fraud or misrepresentation
  • Misrepresent academic, professional, or training qualifications
  • Issue credentials on behalf of organizations without proper authority

5.3 Data Accuracy

You are responsible for the accuracy and legality of any data you submit to our Services. You represent and warrant that you have all necessary rights and permissions to submit such data.

6. Intellectual Property Rights

6.1 Our Intellectual Property

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and the compilation thereof (collectively, "Content") are owned by Verit or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes, subject to these Terms.

6.3 Your Content and Credential Data

You retain ownership of any content you submit to the Services, including credential data. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing the Services.

Credential Content Ownership: We do not claim ownership of the substantive content of credentials issued through our Services. Credential schemas may be based on open standards (e.g., W3C Verifiable Credentials). Issuers retain rights to their credential content, subject to any applicable accreditation body requirements.

6.4 Feedback

Any feedback, suggestions, or ideas you provide regarding the Services become our property, and we may use them without any obligation to you.

7. Payment Terms

7.1 Fees

Certain features of the Services require payment of fees. All fees are stated in British Pounds Sterling (GBP) unless otherwise specified in a separate agreement. Pricing may be based on subscription plans, per-credential usage, or custom enterprise agreements. You agree to pay all applicable fees as described on our pricing page or in your service agreement.

7.2 Billing

  • Fees may be billed in advance on a recurring basis (monthly or annually) or based on usage
  • You authorize us to charge your payment method on file
  • Failed payments may result in service suspension
  • You are responsible for all applicable taxes, including VAT where applicable

7.3 Refunds

All fees are non-refundable except as required by law or as expressly stated in these Terms. We may offer refunds on a case-by-case basis at our sole discretion.

7.4 Price Changes

We reserve the right to modify our fees at any time. We will provide at least 30 days' notice of any price increases.

8. Privacy and Data Protection

Your use of the Services is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data practices.

  • We comply with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018
  • We collect and process personal data as described in our Privacy Policy
  • We implement privacy-by-design principles: data minimisation, holder control, and no raw PII on distributed ledgers
  • We implement appropriate technical and organizational security measures to protect your data
  • You have certain rights regarding your personal data under UK GDPR
  • For Issuer Customers: you act as data controller for credential holder data; we act as data processor

9. Disclaimers and Warranties

9.1 "AS IS" Basis

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

9.2 No Warranties

We disclaim all warranties, including but not limited to:

  • Warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy, reliability, or completeness of content
  • Uninterrupted or error-free operation
  • Security of data transmission

9.3 No Guarantee of Results

We do not guarantee that the Services will meet your specific requirements or that the results obtained from using the Services will be accurate, reliable, or error-free.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

IN NO EVENT SHALL VERIT, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or data
  • Business interruption
  • Loss of goodwill
  • Cost of substitute services

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

AGGREGATE LIABILITY CAP: Our total liability to you for all claims arising out of or relating to these Terms or the Services shall not exceed the total fees paid by you to Verit in the 12 months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Verit and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Services
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your violation of any applicable laws or regulations
  • Content you submit to the Services
  • For Issuers: fraudulent, inaccurate, or unauthorized credential issuance
  • For Issuers: issuing credentials without proper legal authority or accreditation
  • For Issuers: claims arising from the content or validity of credentials you issue

Issuer-Specific Indemnity: If you are an Issuer, you specifically agree to indemnify Verit against any claims arising from credentials you issue, including but not limited to claims of fraud, misrepresentation, lack of accreditation, or unauthorized issuance.

12. Dispute Resolution

12.1 Informal Resolution

Before filing a claim, you agree to contact us at verit.req@outlook.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 60 days.

12.2 Mediation

If informal resolution fails, the parties agree to attempt to resolve the dispute through good-faith mediation before resorting to litigation.

12.3 Court Proceedings

Any disputes that cannot be resolved through informal resolution or mediation shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

You agree to submit to the exclusive jurisdiction of the courts of England and Wales for the resolution of any disputes arising out of or relating to these Terms or the Services.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on our website
  • Updating the "Last Updated" date
  • Sending email notification for significant changes

Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms.

15. Termination

15.1 By You

You may terminate your account at any time by contacting us or using the account deletion feature in your dashboard.

15.2 By Us

We may suspend or terminate your access to the Services immediately, without prior notice, for:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Non-payment of fees
  • Any other reason at our sole discretion

15.3 Effect of Termination

Upon termination:

  • Your right to use the Services immediately ceases
  • We may delete your account and data
  • Provisions that should survive termination will remain in effect
  • You remain liable for any outstanding fees

15.4 Credential Lifecycle After Termination

Important notes regarding credentials after account termination:

  • Holder-Controlled Credentials: Credentials already issued to Holders remain under Holder control and may continue to be verified even after Issuer account termination
  • Verification Services: Verifiers may still verify historical credentials issued before termination, subject to any revocation actions taken by the Issuer
  • Issuer Revocation Rights: Issuers may revoke credentials even after account closure, where technically feasible
  • No New Issuance: Terminated accounts cannot issue new credentials

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Verit regarding the Services.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

16.5 Force Majeure

We shall not be liable for any failure to perform due to circumstances beyond our reasonable control.

16.6 Export Compliance

You agree to comply with all applicable export and import laws and regulations.
